This Commercial Schedule (the “Schedule”) is entered into by and between SocialIQ.com (“Company”) and the undersigned content creator or entity (“Creator”). This Schedule sets forth the core business and financial terms for the Creator’s participation in Company’s Audience Growth Services and Referral Rewards Program. This Schedule incorporates by reference the SocialIQ.com Creator Program Standard Terms (the “Standard Terms”), available at https://socialiq.com/creator-terms/ (or a successor URL). In any conflict between this Schedule and the Standard Terms, this Schedule governs solely as to the commercial and financial terms.

Term Sheet

1. Audience Growth Services — Key Financial Terms

a) Ad Spend Advance. Company may advance paid media/traffic spend (“Ad Spend”) to promote Creator’s content and generate measurable incremental revenue. Ad Spend is fully reimbursable to Company from Incremental Revenue before any profit split.
b) Profit Allocation. After Ad Spend is fully recouped, the remaining net Incremental Revenue is allocated 60% to Creator and 40% to Company. Incremental Revenue means commissions, bonuses, bounties, or other consideration attributable to traffic tracked using Company-issued IDs, tags, or links, net of returns, cancellations, and chargebacks.
c) Downside Protection / Carryforward. If Ad Spend for a period exceeds Incremental Revenue for that period, the shortfall carries forward and is reconciled against subsequent Incremental Revenue. Creator’s liability for Ad Spend is limited to Incremental Revenue generated through Company-tracked traffic; there is no out-of-pocket obligation
d) Reporting & Source of Truth. Company will provide periodic reporting (e.g., dashboard access, portal, or emailed statements) that consolidates data from traffic acquisition channels. Company’s reconciliation will serve as the operative record for Ad Spend recovery and Shared Profit calculations.

2. Referral Rewards Program

For each net-new creator introduced by Creator who enrolls in Company’s Audience Growth Services, Creator earns a referral reward equal to 10% of Company’s portion of Incremental Revenue generated by the referred creator during the first twelve (12) months of their participation. Referral payments derive solely from Company’s share and do not reduce the referred creator’s earnings. The referring Creator must be an active participant under this Agreement to remain eligible.

3. Invoicing & Payment Mechanics

a) Statements. Company will provide monthly statements on or around the first business day of each month summarizing the prior period’s Ad Spend and Incremental Revenue.
b) Timing. Creator shall remit any amounts owed within fifteen (15) days after the Creator’s receipt of corresponding payouts from applicable affiliate programs / partners.
c) Late Charges. Past-due balances accrue interest at 2% per month, compounded monthly or at the maximum rate permitted by law.
d) Dispute Window. Any dispute of a statement must be submitted in writing within fifteen (15) days of receipt; otherwise the statement is deemed accepted.

4. Term & Termination

a) Initial Term:Three (3) months from the Effective Date (trial period), followed by automatic one-year renewals unless terminated earlier pursuant to the Standard Terms.
b) Termination:Either party may terminate for convenience on thirty (30) days’ written notice, per the Standard Terms.

5. Acknowledgment & Incorporation by Reference

Creator acknowledges review of, and agrees to be bound by, the SocialIQ.com Creator Program Standard Terms, as updated from time to time at https://socialiq.com/creator-terms/. This Schedule and the Standard Terms (together, the “Agreement”) form the complete agreement between the parties regarding the subject matter.

Electronic Acceptance. The parties agree that click-through or electronic signatures constitute valid execution and consent under the U.S. E-SIGN Act and applicable law.
